Seeking a seasoned Corporate Governance Professional to oversee compliance, risk management, and regulatory affairs in the manufacturing sector.

Key Responsibilities
  • Ensure strict adherence to statutory requirements and regulations applicable to the manufacturing sector.
  • Provide expert advice on corporate governance, compliance, and regulatory matters to senior management.

Responsibilities include:

  1. Ensuring compliance with Company Law, SEBI regulations, and other relevant laws and guidelines.
  2. Organizing Board Meetings, Annual General Meetings (AGMs), and Committee Meetings, preparing agendas, drafting minutes, and ensuring resolutions align with corporate governance standards.
  3. Maintaining accurate and up-to-date statutory records, registers, and filings in accordance with the Companies Act, ROC, MCA, and SEBI guidelines.
  4. Acting as the key liaison between the company and regulatory authorities, auditors, legal advisors, and other stakeholders to ensure smooth operations and compliance.

Qualifications:

  • Fully qualified Company Secretary (CS) with membership in ICSI.
  • 5+ years of experience as a CS, preferably in a manufacturing company.
  • Strong knowledge of Companies Act, SEBI guidelines, FEMA, and other corporate laws.
  • Experience in handling corporate governance, compliance, and regulatory matters.
  • Excellent communication, drafting, and negotiation skills.

Relevant Experience:

5-8 years of experience

Knowledge and Skills Required:

  • Familiarity with labor laws, environmental regulations, and industry-specific compliance in manufacturing.
  • Experience in M&A, fundraising, and due diligence processes.
  • Strong analytical and problem-solving skills.
