Contract Review Specialist - Americas

A seasoned contract specialist is sought to review and negotiate IT contracts across the Americas. The ideal candidate will have 4-8 years of experience in reviewing procurement side contracts, with exposure to customer side contracts a plus.

  • Review and negotiation of Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.
  • Collaboration with procurement, business, and delivery functions for transaction closure.
  • Preparation of monthly reports on transactions received.

This role involves monthly cadence reporting, meetings with management, and presentations as needed, along with legal projects assigned by senior counsel.

Key Responsibilities:
  • Identifying contractual, commercial, and operational risks and exposures in contracts;
  • Providing inputs and markups to mitigate contractual, commercial, and operational risks and exposures;
  • Working with internal and external clients to structure, prepare, negotiate, and finalize agreements, letters of intent, commercial proposals, etc.;
  • Major experience in contract negotiation is required;
  • Review and negotiation of customer agreements;
  • Providing legal support for ongoing contract management activities; close coordination with external legal counsel;
  • Participation in discussions with internal stakeholders, external counsels, and advisors throughout the contracting process;
  • Management and guidance of junior lawyers;
  • Experience in negotiating IT outsourcing contracts and other IT contracts with customers.
