Establish a transaction advisory practice by spearheading our transactions department. This is an exceptional opportunity to drive growth, lead deal execution, and contribute to core leadership.

The Head of Transaction Advisory will oversee a team responsible for project management services, IPO advisory, process integration, contracts and legal compliance, due diligence, and transaction structuring ensuring that deals deliver strategic value.

This role demands strong expertise in deal structuring, regulatory compliance, and operational integration. As the leader, you will guide clients through critical deal execution and post-closing phases — ensuring seamless transitions, synergy realization, and long-term value creation.

Key Responsibilities
  • Lead the drafting of transaction documents, completion of due diligence, and negotiation of deals.
  • Oversee the execution of processes after deal closure, including capital structuring, funding drawdowns, and compliance.
  • Integrate acquired businesses (financial systems, reporting, governance, risk management).
  • Ensure synergy tracking and realization using structured MIS dashboards and KPI frameworks.
  • Manage separation and carve-out activities where required (shared services, asset transfers, employee migration).
  • Implement deal-related structures (SPA/SSA covenants, milestone-linked funding, earnouts).
  • Ensure compliance with regulatory frameworks (Companies Act, FEMA, SEBI, RBI, tax regulations).
  • Support clients with closing balance sheet preparation, purchase price allocation, and consolidation.
  • Liaise with statutory auditors, tax advisors, and regulators to ensure smooth compliance post-deal.
  • Advise boards, promoters, CFOs, and private equity investors on post-transaction strategy.
  • Coordinate cross-border activities with legal, tax, and regulatory teams.
  • Provide clear communication and governance updates to senior stakeholders.
  • Build and lead a multidisciplinary team (finance, accounting, tax, process experts) to deliver transaction execution services.
  • Develop standard operating procedures for post-deal advisory, ensuring consistency and quality.
  • Mentor Managers and Associates, fostering consulting excellence and knowledge development.
  • Collaborate with other service lines (Tax, Valuation, Audit, Digital Finance) for integrated client solutions.
  • Develop service offerings in post-deal advisory and integration.
  • Contribute to proposals, client pitches, and relationship management with key accounts.
  • Represent the firm at industry forums, webinars, and regulatory discussions.
Required Skills & Qualifications
  • Deep expertise in M&A deal execution, post-deal integration, carve-outs, and restructuring.
  • Strong understanding of financial reporting, accounting standards (Ind AS, IFRS), tax structuring, and compliance frameworks.
  • Proven ability to lead negotiations, manage stakeholders (boards, promoters, PE funds, global investors).
  • Hands-on experience with scenario analysis, synergy modelling, and performance tracking.
  • Excellent leadership, people management, and client relationship skills.
