Our ideal candidate is a seasoned Governance professional with a minimum of 10 years of experience in compliance, corporate governance and leadership roles. They will oversee all governance functions, focusing on corporate governance, risk management and strategic initiatives.

Key Responsibilities:
  • Corporate Governance & Leadership: Provide strategic advice to the board of directors on matters of corporate governance, ensuring effective and efficient operations. Facilitate board and committee meetings, preparing agendas and ensuring timely follow-up on action items.
  • Regulatory Compliance: Ensure adherence to statutory and regulatory requirements, including companies act, securities regulations and other financial laws applicable to a listed entity.
  • Strategic Initiatives: Develop and implement robust internal policies and procedures to identify, assess and mitigate potential compliance risks across the organization.
  • Statutory Filings: Oversee preparation and timely filing of regulatory documents and returns with authorities like the registrar of companies (roc) and ministry of corporate affairs (mca).
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills:

  • A mandatory qualified company secretary (cs). A chartered accountant (ca) qualification is a strong advantage.
  • Minimum 10 years of experience in senior governance, compliance or secretarial roles. Must have experience working in a listed company and handling m&a compliance.
  • In-depth knowledge of indian corporate laws, financial regulations, accounting standards and taxation.
  • Strong understanding of regulatory filings and procedures with authorities like the mca, roc and sebi.
