
Senior Corporate Governance Officer

Job Description:
We seek a seasoned Corporate Governance Specialist to oversee corporate governance, regulatory compliance, and efficient board operations. This key role demands strong organizational skills, attention to detail, and an ability to handle confidential information with high integrity.
- Key Objectives:
- Act as the primary liaison between the board of directors, shareholders, and regulatory authorities on matters of corporate governance.
- Coordinate board and committee meetings, including agenda preparation, documentation, and follow-up.
- Ensure compliance with statutory and regulatory requirements under the Companies Act, SEBI regulations, and other applicable laws.
- Maintain statutory registers, corporate records, and ensure timely filing of documents with the Registrar of Companies (ROC) and other regulatory bodies.
- Provide senior leadership with structured legal and regulatory guidance to support Dermatouch's corporate decision-making.
Responsibilities:
- Prepare and distribute notices, agendas, and materials for board and committee meetings.
- Attend board meetings, document minutes, and maintain accurate corporate records.
- Draft and file statutory documents, including annual returns, resolutions, and financial disclosures.
- Monitor changes in company law, SEBI regulations, and other legal frameworks relevant to the healthcare and FMCG sectors.
- Liaise with regulatory authorities such as ROC, SEBI, and ensure compliance with applicable regulations.
- Facilitate shareholder communication, including organizing annual general meetings and handling investor queries.
- Coordinate with legal advisors, external consultants, and auditors on governance-related matters.
- Conduct internal governance reviews and risk assessments to identify and implement improvements.
Qualifications:
- Bachelor's degree in Law, Business Administration, or related field.
- Qualified Company Secretary (ACS) and active member of the Institute of Company Secretaries of India (ICSI).
- Minimum 5 years of experience in corporate governance, secretarial functions, and regulatory compliance—preferably in the FMCG, healthcare, or pharma sector.
- Strong working knowledge of the Companies Act, SEBI regulations, and corporate governance best practices.
- Proficiency in corporate secretarial tools and digital compliance platforms.
- Excellent written and verbal communication skills.
- Ability to handle confidential information and operate with high integrity and discretion.
- Strong organizational skills and attention to detail.
