The role of the Corporate Secretary involves providing administrative support to ensure seamless corporate governance and compliance. This includes coordinating with regulatory bodies, managing statutory records, and drafting legal documents.
Key Responsibilities include:
- Preparation and Filing of Statutory Returns: The Corporate Secretary will assist in preparing, filing, and maintaining statutory returns, forms, and records under relevant laws and regulations.
- Drafting Legal Documents: The role requires drafting notices, agendas, and minutes of Board & Committee Meetings, General Meetings, and Resolutions.
- Maintenance of Statutory Registers: The Corporate Secretary will maintain statutory registers and records as per regulatory requirements.
- E-Filing with Regulatory Authorities: The role involves assisting in e-filing with MCA, SEBI, RBI, and other regulatory authorities.
- Coordination and Communication: The Corporate Secretary will coordinate with auditors, consultants, and regulators as required and provide support for drafting agreements, policies, and internal corporate governance documents.
- Research and Advisory Services: The role requires researching and interpreting corporate and securities laws for advisory purposes.
- Compliance and Audits: The Corporate Secretary will monitor regulatory deadlines and ensure timely compliances, assisting in compliance audits and secretarial audits.
- Reporting and Presentations: The role involves preparing presentations and reports for management/Board.
Required Skills and Attributes include:
- Strong Understanding of Corporate Governance: A good understanding of Company Law, SEBI regulations, and corporate governance is essential.
- Excellent Drafting and Analytical Skills: Strong drafting, communication, and analytical skills are required for success in this role.
- Technical Proficiency: Proficiency in MS Office and comfort with online compliance filing platforms is necessary.
- Fast-Paced Environment: Ability to work in a fast-paced environment with attention to detail is crucial.
