Job Title: Governance Specialist

We are seeking a highly skilled Governance Specialist to join our team.

About the Role:

The Governance Specialist will play a key role in ensuring the organization's compliance with financial and legal practices, maintaining high standards of corporate governance, and facilitating effective communication between the board of directors and company shareholders.

  • Compliance Management: Ensure the organization adheres to statutory and regulatory requirements, as well as internal policies.
  • Statutory Books: Maintain accurate records, including registers of members, directors, and secretaries.
  • Meeting Support: Organize agendas, papers, and minutes for board meetings, committees, and annual general meetings (AGMs).
  • Regulatory Environment: Monitor changes in relevant legislation and regulatory environments.
  • Liaison: Liaise with external regulators and advisors, such as lawyers and auditors.
  • Shareholder Communication: Manage shareholder information, including dividend payments and record maintenance.
  • Policies and Frameworks: Support the development of corporate policies and governance frameworks.
Requirements:
  • Professional qualification as a Company Secretary (e.g., ICSI qualification).
  • Strong knowledge of company law and corporate governance regulations.
  • Excellent written and verbal communication skills.
  • Attention to detail and accuracy.
  • Task management and prioritization skills.
  • Proficiency in relevant software and legal tools.
