We are seeking a highly skilled and experienced Corporate Governance Manager to join our organization. The ideal candidate will have a strong understanding of corporate governance practices, compliance with various laws and regulations, and excellent communication skills.

About the Role

The Corporate Governance Manager will be responsible for advising on good governance practices, ensuring compliance with Corporate Governance norms, filing and registering documents, preparing notices and minutes of meetings, managing securities, keeping corporate records, and ensuring secretarial compliance audit.

Key Responsibilities
  1. Advising on good governance practices and ensuring compliance with Corporate Governance norms as prescribed under various Acts;
  2. Filing, registering any document including forms, returns and on behalf of the company;
  3. Preparing notices/agenda/minutes of the Board/General meetings and follow up actions thereof;
  4. Managing all tasks relating to Securities and their transfer and transmission;
  5. Keeping corporate records, statutory books and registers;
  6. Ensuring compliance for Secretarial Compliance Audit;
  7. Assisting in filing Annual Return where necessary and responsible for other Declarations, Attestation and Certifications under the Companies Act, 2013;
  8. Compliance of legal and procedural aspects under various corporate laws and acts relating to Securities and Exchange Board, Foreign Exchange, Consumer Protection, Environment, Labor, Mergers and Acquisitions, Foreign Collaborations and JVs, Subsidiaries, Competition;
  9. Attending Company Law Board, SEBI, Registrar of Companies, and Tax Tribunals, Consumer Forums and Other quasi-judicial bodies and Tribunals;
Requirements

To be successful in this role, you will need:

  • A degree in law or a related field;
  • At least 5 years of experience in corporate governance or a related field;
  • Excellent communication and interpersonal skills;
  • Ability to work independently and as part of a team;
  • Strong analytical and problem-solving skills;
  • Proficiency in MS Office and other relevant software;
