Senior Governance Specialist

The role of Senior Governance Specialist involves ensuring effective corporate governance across the organization. To achieve this, the ideal candidate will have extensive experience in managing compliance and corporate secretarial functions within a listed entity.

Key responsibilities include:

  • Corporate Governance Support:
  • Advising the board of directors on all matters related to corporate governance, fostering efficient operations while adhering to ethical standards. This includes facilitating board meetings, preparing agendas, and maintaining accurate minutes with timely follow-up on action items as per applicable SEBI guidelines for listed entities.
  • Regulatory Compliance Management:
  • Ensuring strict adherence to relevant statutory and regulatory requirements, encompassing the Companies Act, SEBI regulations, and other financial laws pertinent to a listed company.
  • Integration and Risk Management:
  • Overseeing the integration of new companies into existing compliance frameworks and proactively identifying, assessing, and mitigating potential compliance risks across the organization. This entails developing and implementing robust internal policies and procedures.
  • Statutory Filings and Reporting:
  • Managing the preparation and timely submission of regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for both the parent entity and subsidiaries.
  • Responding to Regulatory Queries:
  • Ensuring prompt resolution of queries, notices, or summons from regulatory bodies including stock exchanges and engaging in discussions to address their concerns.
  • Internal Audits and Reviews:
  • Conducting regular internal audits and reviews to ensure ongoing adherence to regulations and internal policies.

Essential Skills & Qualifications:

  • Professional Qualifications: A qualified Company Secretary (CS) is mandatory. A Chartered Accountant (CA) certification is highly desirable.
  • Experience: At least 10 years of senior-level experience in compliance, corporate secretarial, or governance roles, preferably within a listed entity handling M&A compliance.
  • Legal & Financial Knowledge: In-depth understanding of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong familiarity with regulatory filings and procedures involving authorities like the MCA, ROC, SEBI, and RBI.
