Job Title: Tax Advisory Associate

Job Summary: We are seeking a Tax Advisory Associate to join our team in Direct Tax. The ideal candidate will have 0-3 years of experience and a CA/LLB degree.

About the Role: As a Tax Advisory Associate, you will be responsible for structuring and advisory on deals from tax and foreign exchange control perspectives, including FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.

Key Responsibilities:

  • Structuring and advisory on deals from tax and foreign exchange control perspectives, including FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.
  • Drafting and reviewing deal documents, including term sheets, loan agreements, SPAs, disclosures, BTA, merger scheme, reps, and warranties.
  • Handholding clients in conceptualizing deals with specific focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
  • Advisory on possible structuring through the IFSC Gift city.
  • Front-ending/liaising with various stakeholders, including AD Banker.
  • Undertaking health checks and preparing due diligence reports.
  • Providing advisory services on international tax issues, including PE, profit attribution, business connection, expat tax, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax transparent entities.
  • Conducting effective tax rate (ETR) planning analysis for an Indian promoter-held group with 190+ entities.
  • Advising on FEMA and assisting in compounding applications.
  • Assisting in lower withholding applications, condonation applications, assessments, appeals at all levels. Engaging with Senior Counsels, preparing synopsis, and briefing.
