Job Summary:
The Company Secretary - Due Diligence plays a critical role within the Merchant Banking division, specifically focusing on Initial Public Offerings (IPOs). This position involves ensuring compliance with regulatory requirements, facilitating due diligence processes, and supporting the overall IPO transaction. The individual in this role will collaborate closely with cross-functional teams, legal advisors, regulatory bodies, and other stakeholders to ensure a seamless IPO process.
Key Responsibilities:
Regulatory Compliance:
Stay abreast of all relevant regulatory guidelines and requirements pertaining to IPO transactions.
Advise the management on regulatory changes that may impact the IPO process.
Ensure the company's compliance with all applicable securities laws and listing regulations.
Due Diligence Management:
Oversee the due diligence process for IPOs, coordinating with various internal departments and external advisors.
Ensure the completeness and accuracy of all due diligence documents and disclosures.
Collaborate with legal teams to address any legal or compliance issues identified during due diligence.
Board and Shareholder Meetings:
Organize and manage board meetings related to the IPO process, ensuring timely and accurate dissemination of information to board members.
Coordinate shareholder meetings, including the preparation of necessary documents and compliance with voting procedures.
Documentation and Filings:
Prepare and review legal and regulatory documents required for IPO filings.
Ensure timely submission of all required documents to regulatory authorities.
Communication and Liaison:
Serve as a point of contact for regulatory bodies, legal advisors, and other stakeholders during the IPO process.
Facilitate communication between internal teams, external consultants, and regulatory agencies.
Risk Management:
Identify and mitigate risks associated with the IPO process.
Implement and maintain robust risk management procedures to safeguard the company's interests.
Post-IPO Compliance:
Assist in post-IPO compliance activities, including ongoing reporting requirements and adherence to post-listing obligations.
Qualifications and Skills:
A qualified Company Secretary with relevant experience in due diligence and IPO processes.
In-depth knowledge of securities laws, listing regulations, and corporate governance.
Strong organizational and project management skills.
Excellent communication and interpersonal skills.
Ability to work collaboratively with cross-functional teams.
Attention to detail and a high level of accuracy in documentation.
Familiarity with the regulatory landscape and procedures related to IPOs.
Experience: 4 to 6 years
CTC offered: 12 to 16 LPA
**Salary**: ₹100,000.00 - ₹150,000.00 per month
