**Job description**

**Role & responsibilities**

1) Assist in preparing agendas, notice and minutes of board, committee meetings and general meetings including pre and post meeting activities.

2) Update and manage all records, file, registers, software entries (compliances) etc.

3) Well versed with Companies Act, 2013 & Rules thereto, SEBI Regulations, FEMA provisions including filing forms and maintaining statutory records.

4) Well versed with Secretarial Standards, Governance Practices, etc

5) Ensure adherence to Good Corporate Governance Standards

6) Assist in managing Secretarial Audit including collating information for internal and statutory auditors

7) Assist CSR related activities

8) Assist in borrowings from bank and other institutions, documentation, registration etc

9) Assist in due diligence requirements of Private Equity Investors

10) Assist in compliance of requirements of Private Equity Investors

11) Assist in compliance with other applicable Corporate Laws.

Must have 2-4 years of experience in secretarial function

Preferred from a Middle Size Company / Consulting firms
