1. JOB SUMMARY

  • To attend and advise MSE and Housing Departments on queries/matters pertaining to the provisions of Companies Act, Transfer of Property Act, and such other laws affecting the Departments.
  • Serve as the scrutinizing and approving authority for all legal documents pertaining toMSE and Housing business.
  • Provide assistance to branches in day to day affairs pertaining to MSE and Housing business.
  • Suggest suitable mode of creation of charge, depending on the nature of property offered as security, availability of title deeds etc.
  • Act as a facilitator for resolving legal issues faced by MSE and Housing Departments in connection with processing of Loan.
  • Vetting of Title Scrutiny Reports submitted by panel Advocates to ensure that the business necessities of the Bank are accomplished without compromising the statutory requirements.
  • Managing legal issues pertaining to creation/registration of Mortgages, Hypothecation, Pledge etc.
  • Drafting suitable loan documents (such as Loan Agreement, Hypothecation Agreement, Guarantee, Memorandum of EM, Mortgage Deed etc.) for new products (e.g., Balance Transfer Loan, Lease Rent Discounting, Cash Credit, Bank Guarantee) to be launched by MSE and Housing Departments.
  • Advise the MSE and Housing Department regarding ceding (pari passu, second charge etc.) and to suggest suitable documentation in relation to Loan sanctioned against property situated in SIDCO, SIPCOT, SEZ, etc.
  • Drafting/vetting/review of all kinds of credit documentation for MSE and Housing, including security documents and all transaction documents for various kinds of fund based and non-fund based as well as secured and unsecured facilities.
  • Support MSE and Housing in resolving all legal issues which could not be resolved by Regional Legal Managers within TAT.
  • Support MSE and Housing in resolving NPA Accounts through measures taken/ to be taken under the provisions of SARFAESI Act (including on-boarding Enforcement Agencies).
  • Ensuing Legal Audit of all eligible accounts as per Policy of the Bank and follow up with the concerned verticals for rectification of observations in the Legal Audit Reports, including appraising the Audit Committee of Board the status of Legal Audit.
  • Taking approval from, reporting to and apprising various In-House Committees in regard to the matters touching upon the above points.
  • Assisting other stakeholders and verticals at Corporate Office in drafting, vetting and reviewing e-mail templates and SMS templates.

2. PRIMARY RESPONSIBILITIES

Business:

  • Support the business in entering new business arrangements/joint ventures with Agencies, Builders and Corporates etc. for business development.
  • Support the business in resolving all legal issues pertaining to business, including drafting of special kind of loan documents depending on the situation, advising/attending to stamping as well as registration issues of loan documents/security documents.
  • Interact with the Regional Business Teams of MSE and Housing Departments to understand the legal constraints, if any, faced by them while generating business and suggest measures for resolution of such issues.
  • Act as a bridge between the business and panel Advocates/Law Firms in understanding and resolving the legal issues faced by the Bank.
  • Objectively evaluate the recommendations of panel Advocates/Law Firms and provide advice to Head of Legal to enable decision making.
  • Vet/review of Mortgage documents including registered/simple mortgages and other legal documents.
  • Initiate steps for registration of mortgages in those States where the same has been made compulsory.

Customer:

  • Give sound legal advice and recommendations to MSE Department and Housing Department in order to protect the legal interests of the Bank.
  • Communicate/interact with Regulators, Statutory Authorities, Law enforcement Agencies, for resolution of legal issues/ensuring compliance.
  • Assist in the registration of charge, modification of charge and satisfaction of charge with CERSAI, RoC and Sub Registrar Offices, as per the requirement.
  • Assist in resolving any issues, if any, raised by Sub Registrars in regard to any document submitted for registration.
  • Assist in resolving issues pertaining to business arrangement/joint venture with Agencies, Builders and Corporates etc.

Internal Process:

  • Adhere to timelines in obtaining Title Scrutiny Report and other relevant document and vetting all documents pertaining toMSE and Housing business.
  • Monitor the timelines of submission of reports/statements, if any, to Government Authorities etc. in a timely manner.
  • Review and advise management on legal implications of internal policies and procedures.
  • Educate the MSE and Housing business teams on legal aspects by issuance of circulars/guidelines.

Learning & Performance:

  • Maintain a database on Applicable laws pertaining to the area of operation, comprising FAQs, dos & don’ts as a ready reference.
  • Conduct training on relevant laws/acts to target stakeholders on a periodic basis.
  • Keeping a track on the latest laws affecting MSE and Housing business and proactively advise the business teams about such amendments and its implication on business and to suggest changes in process/procedure.
  • Ensure goal setting, midyear review and annual appraisal process for self happen within the specified timelines.
  • Actively coordinate with respective stake holders in case of any big misses/lapses.

Education: Bachelor’s degree in law from a recognized university.


Experience : 06 years plus legal experience in Secured assets with at least -3- years of experience in Banks/NBFCs.
