Job Description :
Key Responsibilities:
- Manage routine corporate actions, including:
- Increase in Share Capital
- Private Placement and Rights Issues
- Periodic and Annual Filings under the Companies Act
- Submission of various E-forms as per regulatory requirements.
- Handle routine procedures related to the appointment and resignation of directors and KMPs.
- Ensure compliance with regulations related to NCD issuances and listing.
- Prepare secretarial documentation, including agenda and minutes for Board and Committee meetings.
- Assist the department head in organizing and conducting Board and Committee meetings.
- Monitor regulatory developments and circulate relevant updates applicable to the NBFC sector.
- Maintain statutory registers and records as per the Companies Act.
- Liaise with regulators (RBI, MCA, ROC, FIU), as well as external and internal auditors.
Key Skills:
- In-depth knowledge of routine secretarial compliances.
- Strong communication, interpersonal, and presentation skills.
Qualification and Experience:
- Qualified Company Secretary (CS).
- Relevant experience in NBFC or similar industries will be an added advantage.
