Head - Secretarial

Their is one good job opportunity with our Insurance client for Head Secretarial based in Hyderabad .

This position would report to Chief Governance & Control Officer .

Job Location : Hyderabad

Educational Qualification : Qualified Company Secretary

Experience Required : Experience of around 10 to 15 years as a Company Secretary

Job Responsibilities :

Secretarial :

- Ensure timely and smooth conduct of Board and its Committee meetings, AGM/EGM, ensuring compliance with the provisions of the Companies Act, 2013, Rules made thereunder, Secretarial Standards issued by the ICSI, provisions contained in the SHA / AOA

- Ensure compliance with Corporate Governance guidelines issued by IRDA and other IRDA Regulations Circulars etc. like ensuring compliance w.r.t. Board composition, committee composition, terms of reference, meetings, compliances by directors, information flow between the management and the Board etc.xx`

- Ensure timely submission of Agenda Notes, preparation and circulation of Minutes of meetings etc. Suggest and implement improvement in processes relating to Board Agenda compilation

- Ensure availability and circulate all the relevant documentation required for the meetings

- Keep an eye on the ever-changing regulatory and legal environment, norms. Interpret the amendments, update the Board members and internal customers on regulatory issues

- Suggest improvement in processes to minimize compliance cost etc.

Branch related activities and compliance's :

- Liaise with Administration and Field sales team for new branch openings, relocation's and closures

- Spearhead the approval process of IRDAI for branch openings . Review the relevant reports/ forms prepared by the team and ensure timely intimation to IRDA about the openings/relocation/closures(through filings and Monthly office returns report, Annual Statistics report)

- Ensure timely intimation to the policy holders regarding change in Branch location through issuance of letters.

Secretarial Compliance & Fillings :

- Be updated with circulars, regulations, notifications published on Ministry of Corporate Affairs (MCA) website

- Ensure timely and accurate filing of Forms, Returns (as prescribed under the Companies Act, 2013, Rules made thereunder, IRDA Corporate Governance Guidelines, Insurance Act, 1938, IRDA Act, 1999 and Regulations made thereunder etc., accurate disclosures in annual reports, reports, forms, returns etc.)

- Review and approve the advertisements (prepared by segment solutions) to ensure adherence to advertisement regulations. Review and ensure timely preparation and filing of Advertisement fillings with regulator/ IRDA within the defined timelines.

- Review and ensure accurate and timely ROC filings with MCA

- Manage the AML compliance's and ensure accurate and timely ML reporting and filing of AML returns

- Oversee and ensure accurate and timely submission of submissions of BAP Filings, Operational returns, financial returns, Actuarial returns, Public disclosure filings, etc.

- MSME returns (to vendor)-disclosure.

MIS :

- Ensure maintenance of advertisement register for all advertisements filed

- Ensure effective documentation of reports/ forms/ agreements related to branch activities

- Ensure accurate and timely preparation of various reports - Suspicious transaction reports (STR), Cash transaction reports (cash transaction that exceeds certain limits), etc.

- Review the reports prepared by the team and ensure timely submission of reports to Management

Stakeholder Management:

- Collaborate with HODs for data collation related to board meetings and filings

- Ensure regular engagement with Life Council to establish and maintain relationships

Team management :

- Establish clear roles and account abilities for all team members

- Develop and monitor key performance indicators of the team members and guide to ensure performance delivery

- Identify training and development needs of the team members and plan their training and development and follow up implementation

- Enable the team to perform effectively by delegating/assisting/guiding/counselling/developing team members

- Ensure succession planning for self and critical roles in the department.

Skills Required :

- Must be a member of ICSI

- Sound knowledge of Corporate and Securities Laws viz. The Companies Act, 2013, Rules made thereunder, Secretarial Standards, IRDA Corporate Governance Guidelines, etc. Thorough with the provisions of Insurance Act, 1938, IRDA Act, 1999, IRDA Regulations / Circulars / Notifications

- Strong experience of interacting with Board members

- Strong ability to multitask and co-ordinate at a senior level

- Strong drafting skills
