Job Description:

As a Company Secretary, your role will involve a variety of responsibilities in ensuring legal and regulatory compliance for the company.

Your key responsibilities will include:

Corporate Governance & Compliance:

  • Drafting and preparing Annual Reports, Notices, Agendas, Resolutions, and Minutes of Board/Shareholder/Committee Meetings.
  • Filing Annual Returns (XBRL) and ensuring compliance with MCA regulations.

RBI & Other Regulatory Filings:

  • Filing regulatory forms such as FLA (Foreign Liabilities and Assets), APR (Annual Performance Report), FCGPR (Foreign Currency-Gross Provisional Return), and FCTRS (Foreign Currency Transaction Report) with the RBI.

Board & Shareholder Meetings:

  • Convening Board Meetings, Committee Meetings, and Shareholders Meetings and managing all associated activities and documentation.

Company Incorporation & Restructuring:

  • Incorporating new companies, One Person Companies (OPC), and Limited Liability Partnerships (LLPs).
  • Handling matters such as the increase in authorized share capital, shifting of registered office, name changes, object changes, and reclassification of capital.

Issue and Conversion of Securities:

  • Managing the issue of securities through Private Placements, Preferential Issues, Rights Issues, and Bonus Issues.
  • Managing the issue and conversion of Compulsory Convertible Debentures (CCDs).

Maintenance of Statutory Records & Registers:

  • Maintaining and updating all statutory registers and records required by law, including shareholding patterns and shareholder communications.

Filing with Government Authorities:

  • Filing various e-forms and returns with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), NSDL, CDSL, and other governmental authorities.

Charge Filings:

  • Overseeing the creation, modification, and satisfaction of charges against the companys assets.

Demat & Corporate Action Coordination:

  • Managing and coordinating Demat connectivity for the company and its shareholders, including filings for corporate actions.
  • Liaising with the Depository Participants, Registrar and Transfer Agent, CDSL/NSDL.

Audit Coordination:

  • Coordinating with statutory, internal, and secretarial auditors to ensure all filings and regulatory requirements are met.

Closure, Restoration & Conversion Applications:

  • Filing of Applications for strike-off of Companies.
  • Preparing and filing applications/petitions for the revival of struck-off companies.
  • Handling documentation for the conversion of Public Limited Companies into Private Limited Companies and vice versa.

Skills & Qualifications

Essential:

  • Must be a qualified Company Secretary (CS).
  • Strong knowledge of corporate law, compliance, and regulatory affairs.
  • Ability to draft legal documents, resolutions, and minutes.
  • Proficiency in filing e-forms with MCA, RBI filings, and corporate governance requirements

Experience:

  • 1 to 3 years of relevant experience in a similar role, ideally in the infrastructure or corporate sector
