To manage and execute all operational and compliance activities related to Non-Convertible Debentures (NCDs) and Subordinated Debt (Sub-Debt) instruments issued by the NBFC, ensuring adherence to RBI, SEBI, ROC, and other regulatory requirements, while maintaining accurate documentation and efficient investor servicing.

Issuance & Documentation

  • Coordinate end-to-end execution of NCD and Sub-Debt issuances – both public and private placements.
  • Prepare and review Information Memorandum, Debenture Trust Deed, and Term Sheets in coordination with legal, compliance, and merchant bankers.
  • Ensure timely filing of relevant forms with ROC , RBI returns, and listing documentation with stock exchanges.
  • Liaise with Debenture Trustees, Rating Agencies, Depositories (NSDL/CDSL), and Registrars & Transfer Agents (RTAs).

2. Post-Issuance Operations

  • Maintain and update debenture registers and monitor repayment schedules.
  • Handle interest payment and redemption activities, ensuring timely disbursements and reconciliations.
  • Manage ISIN creation, activation, and deactivation processes with depositories.
  • Coordinate with the finance team for accounting and reconciliation of NCD/sub-debt transactions.

3. Compliance & Reporting

  • Ensure compliance with Companies Act, SEBI (LODR), RBI guidelines for NBFCs, and internal policies.
  • Prepare periodic reports on outstanding NCDs/sub-debt, maturity profiles, and covenant compliance.
  • Facilitate audits (statutory, internal, trustee, and regulatory) and address observations promptly.
  • Monitor and track credit rating renewals and disclosure requirements to exchanges and trustees.

4. Investor & Stakeholder Management

  • Address investor queries related to NCDs/sub-debt in coordination with RTAs and trustees.
  • Ensure smooth coordination between treasury, finance, compliance, and legal teams.
  • Support board and committee meetings by preparing summaries, MIS, and compliance notes.

5. Interest and Incentive Calculation

  • Calculation and processing of interests and incentive on time.

Pay: ₹28, ₹35,000.00 per month
