Job Summary:
The Company Secretary is a key governance professional responsible for ensuring that the company complies with legal and regulatory requirements, maintaining high standards of corporate governance, and effectively managing board processes. This role acts as a bridge between the board of directors, management, and shareholders, and plays a crucial role in ensuring the company operates within the legal framework.
Key Responsibilities:
- Corporate Governance:
- Ensure the company complies with statutory and regulatory requirements.
- Advise the board on corporate governance best practices.
- Organize and manage board meetings, committee meetings, and general meetings.
- Prepare agendas, draft minutes, and follow up on actions from meetings.
- Legal and Regulatory Compliance:
- File necessary documents with regulatory bodies such as the Registrar of Companies (ROC), Securities and Exchange Commission (if applicable), etc.
- Maintain statutory registers and records (e.g., register of members, directors, charges).
- Monitor changes in relevant legislation and the regulatory environment.
- Ensure timely and accurate compliance filings.
- Board Support:
- Provide guidance to directors on their duties and responsibilities.
- Assist with board evaluations and performance reviews.
- Coordinate induction and ongoing training for directors.
- Liaison and Communication:
- Act as a point of contact between the company and regulatory authorities.
- Communicate with shareholders and handle investor relations issues.
- Draft and review contracts, resolutions, and corporate policies.
Qualifications:
- A qualified Company Secretary (Member of ICSI or equivalent).
- Degree in Law, Business Administration, or a related field is a plus.
- Strong knowledge of corporate laws, SEBI/stock exchange regulations, and corporate governance practices.
Skills & Competencies:
- Excellent written and verbal communication skills.
- Attention to detail and high levels of integrity.
- Strong organizational and time-management abilities.
- Proficient in MS Office and legal compliance tools.
- Ability to work under pressure and meet deadlines.
