Senior Manager – Company Secretary & Legal

Location: Regal Circle, RNT Marg, Indore (M.P.) – 452007

Department: Finance & Accounts

Reports To: Assistant General Manager – Finance & Accounts

Experience: 4 – 6 Years

Salary: Up to ₹9 LPA

Role Objective

We are seeking a qualified Company Secretary & Legal Professional (CS + LLB) to manage secretarial compliance, corporate governance, and legal documentation for the company. The role involves handling ROC/RBI filings, Board & AGM documentation, drafting agreements, and managing legal cases.

Key ResponsibilitiesSecretarial & Compliance

  • Ensure compliance with Companies Act, 2013, Secretarial Standards, and Corporate Laws.
  • Organize and manage Board Meetings, AGM, Resolutions, and Minutes (physical & virtual).
  • File annual returns, financial statements, and statutory forms with ROC, RBI, NSDL, RTA.
  • Maintain statutory registers, compliance trackers, and CSR-related documentation.
  • Manage corporate actions: Demat of shares, ISIN generation, dividends, buyback, deposits (DPT-3), related party transactions, inter-corporate loans, etc.
  • Support corporate restructuring: mergers, amalgamations, shifting registered office, alteration of MOA/AOA, appointment of directors/MD.
  • Handle loan documentation, creation/satisfaction of charges, and coordinate with financial institutions.
  • Liaison with regulatory bodies (ROC, SEBI, RBI, Depositories, RTA).

Legal

  • Draft, review & negotiate agreements (supply, distributor, NDAs, consultancy, license, indemnities, POA, affidavits, etc.).
  • Manage & update company litigation database; coordinate with external counsels and appear in proceedings if required.
  • Draft legal notices, replies, and correspondence with authorities, institutions, and business partners.

Qualification & Skills

  • Education: Qualified Company Secretary (Member of ICSI) + LLB (Mandatory)
  • Experience: 4 – 6 Years in Corporate Secretarial & Legal functions
  • Skills Required:
  • Strong knowledge of corporate laws, secretarial standards, and RBI/ROC compliances
  • Proficiency in MS Office and legal drafting
  • Excellent communication & coordination skills
  • Ability to maintain confidentiality, consistency, and proactive problem-solving
