About the Role

The Company Secretary will be responsible for ensuring the company's compliance with all applicable statutory, regulatory, and corporate governance requirements. The role involves acting as a key advisor to the Board on legal and compliance matters, maintaining transparent board processes, and ensuring adherence to RBI NBFC Master Directions and Companies Act provisions.

Responsibilities:

1. 
Statutory & Regulatory Compliance

● Ensure full compliance with the Companies Act, 2013, RBI NBFC Master Directions, FEMA, and other applicable laws.

● Prepare and file all necessary returns, forms, and documents with Registrar of Companies (ROC) and RBI (e.g. MGT-7, AOC-4, DIR-12, PAS-6, NBS-1, NBS-2, NBS-7).

● Maintain statutory registers, records, and filings in compliance with legal requirements.

● Track and implement updates from RBI circulars, MCA notifications, and ICSI guidelines.

2. 
Board and Committee Support

● Organize and conduct Board Meetings, Committee Meetings (Audit, Risk, Nomination & Remuneration), and Annual General Meetings.

● Prepare and circulate notices, agendas, and minutes in line with Secretarial Standards (SS-1 & SS-2).

● Advise the Board on compliance obligations, governance best practices, and strategic legal implications.

3. 
NBFC-Specific Compliance

● Oversee all RBI reporting requirements and ensure adherence to prudential norms, fair practice codes, and KYC/AML guidelines.

● Assist in periodic RBI inspections and respond to audit observations.

● Maintain compliance calendar and ensure timely submission of returns to RBI.

4. 
Corporate Governance

● Implement strong governance practices and ensure Board procedures are compliant and well-documented.

● Maintain transparency in decision-making and ensure Board policies are up-to-date.

● Facilitate training and updates for Directors on regulatory changes.

5. 
Secretarial Audit & Certifications

● Coordinate with Practicing Company Secretary for conducting Secretarial Audit and obtaining certifications (MGT-8, Annual Return, etc.).

● Ensure timely closure of audit observations and compliance gaps.

6. 
Legal and Contractual Support

● Draft, review, and vet legal documents, agreements, and board resolutions.

● Liaise with external legal counsel on litigations, notices, and regulatory queries.

7. 
Other Responsibilities

● Manage equity-related activities such as allotment, transfers, and maintenance of share registers.

● Support policy formulation (compliance policy, risk management policy, code of conduct).

● Act as the compliance officer for regulatory communication and internal compliance reporting.

Essential to the role :

● Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).

● 1–2 years of relevant experience in unlisted NBFCs or financial services sector.

● Hands-on experience with ROC filings, RBI compliance, and Board processes.

● In-depth knowledge of Companies Act, 2013, RBI NBFC Master Directions, FEMA, and Secretarial Standards.

Skills & Attributes:

● Strong understanding of NBFC compliance framework.

● Excellent drafting, communication, and organizational skills.

● Attention to detail and ability to meet tight deadlines.

● Integrity, confidentiality, and strong ethical standards.
