Role Overview
We are seeking an experienced Company Secretary to join our Finance team and oversee
corporate secretarial, governance, and compliance functions. The role involves ensuring
adherence to statutory requirements under the Companies Act, SEBI, RBI, IFSCA, and other
applicable regulations, while also supporting corporate legal affairs, board governance, and
financial compliance matters. The ideal candidate will bring strong expertise in corporate laws,
compliance management, and legal advisory with the ability to collaborate across business
functions.
Key Responsibilities
• Manage all company secretarial functions, including convening board, committee, and
shareholder meetings, drafting agendas, resolutions, and minutes.
• Maintain statutory registers, records, and filings under the Companies Act, 2013 and
applicable secretarial standards.
• File ROC forms, annual returns, and manage compliance for subsidiaries and group entities.
• Support RBI, IFSCA, SEZ, and NBFC-related compliance including license documentation,
AML, KYC, and CFT frameworks.
• Draft, vet, and review commercial contracts, agreements, deeds, and legal notices; liaise with
advocates and counsels for legal proceedings.
• Advise management on corporate governance, legal risks, and compliance matters impacting
the business.
• Prepare, review, and file documents for corporate actions such as shifting of registered office,
change of name, increase in authorized capital, buy-back, and issue/redemption of shares.
• Handle due diligence, intellectual property protection, and regulatory queries.
• Circulate legal and compliance updates, frameworks, and policies to ensure organizational
awareness and adherence.
• Ensure robust governance standards and act as a liaison with regulators (ROC, RBI, IFSCA,
SEZ, etc.).
Key Requirements
• Education:
◦ Company Secretary (ICSI – Professional Level)
◦ Bachelor's Degree (Any)
• Experience:
◦ Minimum years of experience in Company Secretarial functions, corporate
governance, and compliance management.
◦ Hands-on experience in managing statutory filings, board processes, and corporate law
advisory.
