Job Description

AUM Capital is a leading financial services company offering a diverse suite of services including Wealth Management, Broking, Bonds, Insurance, and Investment Advisory. With a client-first philosophy and a commitment to regulatory excellence, we are looking for a proactive and detail-oriented Company Secretary to strengthen our corporate governance framework.

Key Responsibilities:

  • Ensure timely conduct of Board, Committee, and General Meetings with accurate documentation
  • File all statutory returns and forms with MCA, SEBI, and other regulatory authorities
  • Maintain and update statutory registers and records as per the Companies Act, 2013
  • Draft and vet board resolutions, MoUs, contracts, and legal documents
  • Ensure compliance with SEBI, FEMA, RBI, and other applicable regulations
  • Coordinate with auditors for Secretarial Audit and ensure closure of audit observations
  • Draft Annual Reports, Director's Reports, and other statutory disclosures
  • Monitor regulatory changes and advise management on governance matters
  • Liaise with legal counsel and regulatory bodies on compliance and legal issues
  • Support corporate actions like fundraising, mergers, or restructuring initiatives
  • Maintain high standards of corporate governance and ethical practices

Qualifications:

  • Qualified Company Secretary (CS) with membership of ICSI
  • 2–5 years of relevant experience in a listed/unlisted financial services or NBFC company
  • Sound knowledge of Companies Act, SEBI LODR, FEMA, and other applicable regulations
  • Excellent drafting, communication, and organizational skills
  • Proactive, ethical, and able to manage confidential information sensitively
