Job Description:
- Independently handle the secretarial compliances of a group of Subsidiary and Associate Companies, including:
- Form filings on MCA portal and related documentation as required under the Companies Act, 2013.
- Drafting of Notice, Agenda, Resolutions, and Minutes of various meetings of the Board, Committees of the Board and General Meetings.
- Conducting Board Meetings.
- Pre and post Board Meeting compliances.
- Preparation of Board's Report.
- Preparation of Annual Disclosures of the Directors of the Company.
- Maintenance of statutory registers.
- Compliances related to Related Party Transactions and Corporate Social Responsibility.
- Compliances related to Corporate Restructuring.
- Compliances related to Raising of Funds.
- Dematerialization of Securities, Transfer of Shares.
- Preparation of various agreements related to secretarial compliance.
- Coordinating with Secretarial Auditor, Statutory Auditor and Internal Auditor for secretarial compliances.
- Liaising with the Company's external stakeholders such as NSDL, ROC, Kfintech, etc.
- Compliances related to Appointment, Change in Designation and Resignation of Directors and Key Managerial Personnel.
- Updating the Company website as per the Companies Act, 2013.
- Inspection of public documents of companies on the MCA portal.
- Analysis of changes in Corporate Laws and informing the management.
- Handling day-to-day Board Resolutions, DSC, POA and other document requests from other departments.
- Good command over the provisions of the Companies Act, 2013 and related laws.
- Strong communication and drafting skills.
- Proficiency in MS Office.
