JOB DESCRIPTION
Manager - Legal & Contracts
Responsibilities:
A. Land:
a. Understand the land acquisition process for the development of the project and provide inputs on the land development agreement.
b. Identification of an external counsel for the title due diligence.
c. Assisting the land team in resolving queries related to the land and providing documentation for execution as per the requirement. Reviewing and finalizing the templates required for land procurement.
d. Reviewing the title reports received from the counsel and advising the company as appropriate to mitigate risks to avoid any further litigation.
B. Litigation and Dispute Resolution:
a. Identification of a counsel experienced in handling the subject matter under dispute and finalizing the engagement.
b. Reviewing the draft petition/submissions that would be filed before the forum with inputs from the internal stakeholders and business objective.
c. Coordinating with counsel to ensure timely actions considering the business objective.
d. Updating the internal teams on the development and advising the strategy on way forward.
C. Contracts:
a. Drafting and reviewing contracts like ATL, ATS, GPA Easement agreement etc by understanding the contract structure, highlighting potential gaps and mitigating risks.
b. Reviewing amendments/variation orders/change orders.
D. Claims:
a. Reviewing the claim correspondence and drafting communication based on input from the stakeholders.
b. Assisting in strategy formulation for resolving contractual disputes and providing appropriate legal advice.
E. Legal Research and Advice:
a. Conducting legal research on relevant case law, statutes, and regulations for advising on legal strategies, and staying informed about industry developments.
b. Providing timely, accurate, independent, and commercially pragmatic legal advice to internal stakeholders, while managing legal and commercial risks.
F. Risk Assessment and Mitigation:
a. Identifying legal risks associated with contracts and projects, developing strategies to mitigate these risks, and offering proactive legal advice to relevant stakeholders.
G. Documentation:
a. Maintaining accurate documentation, including contracts, correspondence, and case files, to facilitate efficient case and contract management.
H. Miscellaneous:
a. Any other work as may be required to be undertaken based on the requirements of the company.
Desired Traits / Experience & Education
Requirements:
- LLB from a reputable institute with outstanding academic records.
- Minimum 1-2+ years post-qualification working experience.
- Familiar with the working of the RE sector
- Prior experience in handling land and TSR matters.
- Experience with negotiating legal and commercial aspects of projects contracts.
- In-depth understanding of relevant laws and regulations within the renewable industry.
