
Legal - Company Secretary

**Key Responsibilities**:
- **Legal Advisory**: Provide legal advice and guidance to the company on a wide range of corporate and commercial matters, including corporate governance, regulatory compliance, contract drafting and negotiation, and risk management.
- **Corporate Secretarial Functions**: Oversee all company secretarial matters, including maintaining statutory registers, drafting corporate resolutions and legal documents, and ensuring compliance with relevant laws and regulations.
- **Board Support**: Assist in organizing and managing board meetings, including preparing agendas, minutes, and resolutions. Provide legal support and guidance to the board of directors on corporate governance matters.
- **Corporate Transactions**: Support corporate transactions such as mergers, acquisitions, joint ventures, and restructurings by conducting legal due diligence, drafting transactional documents, and ensuring regulatory compliance.
- **Risk Management**: Identify legal and regulatory risks facing the company and develop strategies to mitigate them. Implement robust risk management processes and procedures to safeguard the company's interests.
- **Stakeholder Communication**: Act as a key liaison between the company and its stakeholders, including shareholders, regulators, external legal counsel, and other advisors. Ensure effective communication and collaboration on legal and governance matters.
- **Policy Development**: Develop and implement corporate governance policies and procedures to enhance transparency, accountability, and ethical conduct within the organization. Stay updated on emerging legal and regulatory developments relevant to the company's operations.
**Qualifications and Skills**:
- Bachelor's degree in Law (LLB) is essential. Postgraduate qualifications in Corporate Law or Company Secretaryship would be advantageous.
- Minimum of 7 years of combined experience in legal practice and corporate secretarial roles, with a strong emphasis on corporate and commercial law.
- Proven track record of providing strategic legal advice and support to senior management and board members.
- Strong drafting and negotiation skills, with the ability to draft clear and concise legal documents and agreements.
- Excellent communication and interpersonal skills, with the ability to interact effectively with internal and external stakeholders at all levels.
- Ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities effectively.
- High level of professionalism, integrity, and discretion in handling confidential information.
