**Job Summary**:
We are seeking a qualified and professional Company Secretary with an LLB qualification and 1-3 years of experience to join our team. The Company Secretary will be responsible for ensuring that our organization complies with standard financial and legal practices and maintains high standards of corporate governance.

**Key Responsibilities**:

- ** Corporate Governance**:

- Ensure the company adheres to legal and regulatory requirements.
- Develop and implement corporate policies and procedures.
- Maintain statutory books, including registers of members, directors, and secretaries.
- ** Legal and Regulatory Compliance**:

- Monitor changes in relevant legislation and the regulatory environment.
- Provide legal advice to the Board of Directors and senior management.
- Ensure compliance with all applicable codes and legal requirements.
- ** Board and Shareholder Meetings**:

- Organize and prepare agendas for board and shareholder meetings.
- Take minutes, convey decisions, and handle meeting correspondence.
- Ensure decisions made are communicated to the relevant company stakeholders.
- ** Company Administration**:

- Manage the day-to-day operations of the company.
- Maintain accurate records and handle paperwork efficiently.
- Oversee the issuance and transfer of shares.
- ** Risk Management**:

- Identify and manage potential risks to the company.
- Develop strategies to mitigate risks and ensure business continuity.
- ** Financial Reporting**:

- Assist in the preparation of financial reports.
- Ensure financial information meets legal standards and is reported accurately.

**Key Skills and Competencies**:

- Strong understanding of corporate law and governance.
- Ability to draft/review the contracts and communications
- Excellent organizational and administrative skills.
- Strong communication and interpersonal skills.
- Ability to work independently and as part of a team.
- Attention to detail and high level of accuracy.
- Problem-solving and decision-making abilities.

**Qualifications**:

- ICSI membership is a must
- LLB degree from a recognized institution.
- 1-3 years of experience in a similar role is an added advantage.
