- **Board & Committee Meetings**: They manage the convening, scheduling, and conduct of Board meetings, committee meetings, and general meetings. This involves preparing agendas, minutes, and ensuring proper communication to all stakeholders.
- **Filings with Regulators**: They ensure timely filing of various returns and forms with the Reserve Bank of India (RBI) and other regulatory bodies, adhering to NBFC regulations.
- **Corporate Social Responsibility (CSR)**: The company secretary may be involved in ensuring the NBFC complies with CSR regulations and maintains proper documentation.
**Secretarial & Legal Matters**:
- **Share Capital & Debentures**: They handle matters related to the issue and redemption of preference shares, debentures, and other securities, ensuring adherence to relevant regulations.
- **Liaison with Regulatory Bodies**: The company secretary may act as a liaison with the RBI and other regulatory bodies, representing the NBFC in communication and clarifications.
- **Contract Management**: They may be involved in reviewing and maintaining contracts with various parties like vendors, partners, etc.
**Advisory Role**:
- **Board & Management**: The company secretary acts as an advisor to the Board of Directors and management on corporate governance, regulatory compliance, and best practices.
- **Risk Management**: They may contribute to the NBFC's risk management framework by identifying potential legal and regulatory risks.
**Additional Responsibilities**:
- **Maintaining Company Seal**: The company secretary is the custodian of the company seal and ensures its proper usage on official documents.
- **Custody of Documents**: They may be responsible for safekeeping important company documents and records.
Pay: ₹30,000.00 - ₹50,000.00 per month
