**Roles and Responsibilities**
- Filing of various forms, resolutions and returns under Companies Act, with ROC and Regional Director. Correspondence and filing returns with various statutory authorities.
- Preparing and circulating circular resolutions for board and committee approval from time to time
- Providing timely and commercially sound guidance and advice on all secretarial and legal matters.
- Recommending changes to processes and procedures to reduce compliance risk and raise operational standards.
- Compliance to FEMA matters including RBI filing.
- Deal with overseas company operations legal and secretarial matters (currently subsidiary in Sri Lanka).
- Over few quarters will stand as compliance office of the company.
- Implementation of corporate actions like buyback, incorporation, restructuring, mergers or other similar activities
- Drafting, vetting of legal agreements and discussing with all the relevant stakeholders
o Internal - Employees, Department heads, Leadership Team
o External: Clients, Vendors, Counsels of Clients/vendors, Auditors, Government authorities, if any
- Keeping track of various regulatory changes across states where company has operations, advise the management on business impact, work with operation/business teams for change implementation.
- Ensure compliance to SHA, Debenture Trust deed and periodic reporting
- Review and negotiate Customer contracts keeping company & business interest at the forefront.
- Keeping track of T &C’s including liability / Insurance clauses of customer contract and periodic review and reporting.
- Work with cross-functional teams including client business/legal representative to agree on the contractual requirements / changes in existing process and / or new workflows;
- Liaise with business / Client representatives on multi-faceted inputs/terms to be agreed and drive commercial negotiation with objective of having contract mutually agreed at & signed;
- Facilitate negotiations of various terms (including commercial & operational terms) for consideration in the contracts
- Ensuring understanding and interpretation of contractual agreement with respect to completion of required duties;
- Ensuring compliance of audit requirements / statutory requirements. Ensure timely and smooth completion of all audits i.e., statutory, internal, ISO etc;
- Be the custodian of all contractual documents
- Work on special projects as may be assigned
- Support on internal compliance for The Prevention of Sexual Harassment of Women at Workplace Act, Corporate Social responsibility and related matters
- Timely & accurate reporting to Management with updates;
- Keeping abreast of latest regulatory development, commercial awareness and business awareness.
**Qualifications and Skills**
Academic : CS + LL.B
Experience : 5 to 6 years in Secretarial and Legal function. Experience in contracts, preferably in Education, retail or telecom industries.
**Should Have**:
- Atleast 5-6 years experience as a Company Secretary.
- Good understanding of legal contracts with a focus on business requirements and commercial implications.
- Excellent communication skills
- Self-driven, eye for details, Good analytical & interpretation skills
- Experience in Stakeholder management
- Accuracy and timeliness of compliance and legal closure
