**Job Overview**:
Handling Company Secretary activities and Legal functions of the entity.
**Responsibilities**:
Company Secretary Activities
- Ø Conduct Board, Shareholders meetings end to end, including presentations, related documents preparation, circulation and related follow-up actions thereof.
Ø Timely preparation of the agenda and minutes for Board Meetings and Corporate Social Responsibility meetings.
Ø Ensuring highest level of Corporate Governance and Corporate Secretarial Compliances
Ø Preparation, maintenance, and update of legal registers and records as per the Companies Act, 2013
Ø Ensure regulatory compliance of the company including FEMA, RBI, SEZ, GST Labor, IT, Banking etc. regulations on a timely basis along with publishing of compliance metrics to the Board of Directors.
Ø The preparation, maintenance, and update of all communications and documentation relating to shares with the company shareholders including all registrations, transfers, and transmissions
Ø Acting as the custodian of all corporate records, board minutes and resolutions, statutory books and registers
Ø Event and time-based compliance with the Companies Act, 2013 and compliances with the Secretarial Standards as issued by the Institute of Company Secretaries of India.
**Legal activities-**
Ø Drafting & vetting of various business contracts/ agreements like NDA, Master Service Agreements (MSA), Statement of Work (SOWs), etc.
Ø Documentation with bankers Eg.; Loan Deed, Bank Guarantee, Power of Attorney, Filings of Charges, etc.
Ø Providing legal guidance and support to various teams as required.
Ø Assisting with labor laws
Ø Handle Due diligence activities for the vendors as required.
Ø Assisting the teams in various compliance activities.
Ø Reporting to the management on legal issues and suggesting the remedial actions and avoidance of further litigations.
**Qualifications**
ü Company Secretary with Legal Degree and with Experience in small to medium scale Industry and 3 - 5 years of post-qualification experience..
ü Strong communication, presentation and relationship management skills
