**Position Overview**:
AlertEnterprise is seeking an experienced and highly motivated In-House Legal Counsel to join our growing legal team.

This position will play a pivotal role in managing and negotiating a variety of commercial agreements, including SaaS agreements, Service Level agreements, Data protection agreements, terms and conditions, customer contracts, reseller agreements with technology partners and VARs, and other essential agreements.

**Key Responsibilities**:

- **Draft, review, and negotiate** a wide range of commercial agreements, including SaaS agreements, terms and conditions, customer contracts, reseller agreements, and other business-critical documents.
- **Collaborate with cross-functional teams** (Sales, Marketing, Product, and Engineering) to ensure contracts align with business objectives and compliance requirements.
- **Advise internal stakeholders** on contractual rights, obligations, and risks, providing clear, concise, and practical legal advice.
- **Develop and maintain standard contract templates** and negotiation guidelines to streamline the contracting process.
- **Manage and mitigate legal risks** by ensuring compliance with applicable laws and regulations, including data privacy and security standards.
- **Support corporate governance** and other legal matters as needed, contributing to the overall success of the legal function within AlertEnterprise.
- **Stay current on industry trends and legal developments** relevant to SaaS, technology partnerships, and data privacy, and proactively integrate this knowledge into the company’s legal strategies.

**Qualifications**:

- Juris Doctor (JD) degree from an accredited law school and active membership in at least one U.S. state bar, must be qualified to practice law in California
- Minimum of 5 years of relevant legal experience, with a focus on SaaS agreements, technology contracts, and commercial transactions.
- Proven experience negotiating complex agreements with customers, technology partners, and VARs.
- Strong understanding of data privacy and security laws, including GDPR, CCPA, and other relevant regulations.
- Excellent interpersonal and communication skills, with the ability to build strong relationships with internal and external stakeholders.
- Highly organized, detail-oriented, and capable of managing multiple projects simultaneously in a fast-paced environment.
- Proactive, solution-oriented approach with a strong business acumen and the ability to provide practical legal advice.
