We are looking for a **corporate lawyer to serve as an in-house counsel and handle** all legal transactions, partnerships, projects, and employee related **matters pertaining primarily to our North American entities**. Your principal goal will be to guarantee that all our company’s transactions comply with state laws and regulations, and to advise our company on legal rights and duties and actively help the company avoid possible legal risks and violations.
Other duties will include consulting and leading all corporate legal processes such as intellectual property, agreements, mergers, financial/securities offerings, compliance issues, transactions, partnerships, and lawsuits. You are required to have outstanding negotiation and communication skills, with sharp attention to detail.

- **Duties/Responsibilities**:_
- Draft, review, negotiate, and revise contracts, including non-disclosure agreements, confidentiality agreements, licensing agreements, settlement agreements, and purchase agreements.
- Evaluate new business partnerships with vendors and subcontractors and assist in creating contracts /other legal paperwork for new businesses, mergers, and acquisitions.
- Check for conformity with state rules and regulations by reviewing and examining contracts, leases, deeds, wills, trusts, securities offerings, bonds, and other legal documents.
- Design and oversee the company’s policy and position on legal matters.
- Assist in the development of strategies to manage risk exposure and prevent legal problems from occurring.
- Represent the company and its sister concerns in legal proceedings.
- Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
- Create risk management and legal awareness.
- Review and report obligations to ensure that responsibilities defined under the contract are met.
- Ensure a well-governed and diligent contracting process from start to finish.
- Liaise closely with business owners and other relevant stakeholders.
- Assist in all facets of litigation, including pre-disputes, fact investigation, drafting legal responses and negotiating and drafting settlements.
- Handle additional related responsibilities as may be needed.
- **Required Skills/Abilities**:_
- Bachelor’s/Master’s degree in Law from a recognized university.
- Licensed to practice law.
- Experience from an internationally oriented law firm or international corporation.
- Minimum of four (4) years of experience in corporate or business law.
- Overall broad legal knowledge (corporate law, employment/labor law, litigation, tax laws, intellectual property rights, etc.), with **expertise across both India & North America corporate laws.**
- Excellent communication, verbal and written, and drafting skills.
- Excellent judgement and analytical skills with strong attention to detail.
- Strong time management skills and ability to manage and deliver commitments with professional and positive attitude.
- Ability to advise and interact with all levels of management.
- Able to work independently.
- General understanding of trends that govern corporate law.

- A PC/Laptop with a minimum of 8GB of RAM, a high-end to mid-end processor, and an OS of your choice.
