Associate - Legal

**Position Summary**:
A leading EPC Company is looking for an Sr. Associate - Legal to join their team in Mumbai

The role demands knowledge of the EPC Contracts, reviewing various Contract documents while execution of an EPC Project.

**Key Activities & Responsibilities**:

- Reviewing Proposals / ITB's, preparing contract deviations and managing negotiations for new opportunities (which includes reviewing Contract terms and conditions, scope of work, project procedures) for EPC projects out of India
- Advising, reviewing and negotiating documents such as MOU, Consortium, Joint Venture Agreements.
- Advising on contract conditions for Projects in varying jurisdictions, working with, and understanding foreign governing/applicable law.
- Drafting correspondence and legal documents, clauses, notices, agreements
- Advising on and review of Parent Company Guarantees and project finance documentation.
- Supporting preparation, negotiations and implementation of Subcontracts and Purchase Orders.
- Assisting/advising in preparation of Change Orders, Extensions of Time and Claims raised by Clients, Vendors, Subcontractors and LTHE.
- Reviewing and negotiating Non-Disclosure Agreements.
- Conduct research on relevant laws, regulations, and legal provisions, legal principles, case laws
- Assisting in handling arbitrations and litigations,
- Liaising with external lawyers and business team.
- To provide solutions within legal framework for smooth achievement of business objectives
- Keep abreast of legislative changes that may affect the organization
- Preparing legal templates for standard agreements
- Timely follow-up with vendors/customers, Consultants and providing the appropriate information as and when needed.

**Education**:

- Bachelor’s degree in Law.
- Knowledge of substantive contractual, business, commercial laws.

**Experience**:

- 3-5 years of experience with an EPC Company or a law firm handling EPC matters
- Excellent organizational skills with the ability to deliver to set deadlines
- Excellent Problem-solving skills
- Self-motivated
- Independent, hands-on and driven with the aptitude and attitude to learn, embrace and adapt to changes.
