**Position Overview**

**Key Responsibilities**

**Statutory Compliance & Corporate Governance**:

- Ensure timely and accurate ROC filings, including annual returns, financial statements, and event-based compliances.
- Maintain statutory registers, records, and filings as per the Companies Act and other applicable regulations.
- Collaborate with the finance and accounts team to ensure smooth execution of financial statutory compliances, including GST, TDS, and tax audits.

**Board and Shareholder Meetings**:

- Prepare agendas, notices, resolutions, and minutes for board, committee, and general meetings.
- Assist in convening meetings and ensuring proper documentation of decisions.
- Maintain a record of board resolutions and follow up on action items.

**Documentation and Auditing**:

- Oversee all necessary documentation for audits and compliance reporting.
- Ensure timely completion of internal and external audits.
- Liaise with auditors, consultants, and regulatory authorities as required.

**Stakeholder Coordination**:

- Act as the point of contact for internal and external stakeholders, including government bodies, legal advisors, auditors, and clients.
- Support the founder in liaising with investors, board members, and shareholders.

**Strategic and Business Support**:

- Assist the founder in making critical business decisions by providing compliance insights and strategic inputs.
- Represent the company and the founder in crucial meetings with clients, investors, and stakeholders.
- Actively participate in the finalization of client deals, ensuring compliance with contractual obligations.

**Client Relations**:

- Review and finalize agreements and contracts with clients and vendors to ensure compliance with company standards.
- Foster strong relationships with clients and external stakeholders to maintain the company’s reputation.

**Risk Management & Legal Advisory**:

- Identify, assess, and mitigate compliance and legal risks to the company.
- Provide legal advisory services to the founder and management team for all business operations.

**Continuous Improvement & Support**:

- Stay updated with changes in laws, regulations, and best practices to enhance compliance measures.
- Assist in driving process improvements for efficiency and compliance adherence.
- Support business objectives by handling any other duties and responsibilities as required.

**Qualifications and Skills**

**Educational Qualification**:

- Qualified Company Secretary (CS) with membership of the ICSI.
- Additional qualifications in law, finance, or business management will be a plus.

**Experience**:

- 3+ years of experience as a Company Secretary, preferably in a corporate or startup environment.

**Key Skills**:

- Strong knowledge of the Companies Act, FEMA, SEBI regulations, and other applicable laws.
- Excellent written and verbal communication skills.
- Strategic thinking, problem-solving, and decision-making abilities.
- Proficient in MS Office and legal software/tools.
- High attention to detail, organizational skills, and ability to multitask.
