This role is basically to create strategy, planning & execution of Acquisitions, Joint ventures, technology collaboration & startup investments.

- 1) **M&AFramework**Development**
- a) Development of M&A framework of SMIL, based on corporate strategy objectives including self assessment & comprehensive market assessment.
- b) - constraints
- on certain types or sizes of deals, thereby further narrowing the scope of potential targets.
- c) Timely update the framework based on dynamics & context changes.
- 2) **M&Astrategy**Development**
- a) Create M&A Strategic papers for value creation possibilities arising out of deals of Acquisition, JV & TCOs.
- b)

- d) Define value creation thesis of SMIL.
- 3) **TargetIdentification&**Evaluation**
- a) PartnerwithInvestmentbanks/consultantstogetproactive+situationaldealflow
- b) DirectlyreachouttopotentialJVpartners/Acquisitionstoinitiatediscussions.
- c) Create profiles of identified targets by analysing secondary information & gathering intelligence.
- d) Createcriteria'sfortheevaluationoftargetsfornextstage.
- 4) **M&AProcess**Management**
- a) NDA,cadenceoffollow-upmeetings,valuationanalysisetc.
- b) Initialduediligence&LOI
- c) Creationofdetailedduediligenceplan&coordinatewithvariouspartners.
- d) Leadnegotiations&DDonM&ATargets
- e) DevelopmentofPurchaseagreement,financingstrategies,integrationstrategiesetc.
- f) Lead overall execution on M&A Deals and post-merger integration as well as value realization on all deals
- 5) **Managing**Integration**
- a) DevelopingIntegrationStrategyofAcquisitions.
- b) Planning integration activities, deploying plans, conducting regular integration team meetings, tracking progress, reporting results etc.
- c) A communication plan for employees in both companies and all other stakeholders (i.e., customers, suppliers, vendors, partners, recruits, communities, etc.)
