Estate Planning is a business which is being done through Kotak Mahindra Trusteeship Services Limited. Estate Planning involves succession planning by creation of Trust Structures for Clients and managing the Trust administration which includes Trust investments, distributions, accounts, audit, taxation and dissolution.

The business presently consists of people who are responsible for business development, creating trust structures, legal, compliance and operations of the Estate Planning Business. The team consists of either Lawyers/ Chartered Accountants at present. We are looking for a person in a legal role pertaining to the Estate Planning product. The role is detailed below:

- To assist in structuring and drafting trust deed of private family trust/s, gift deeds, Wills;
- To assist in drafting and reviewing of various commercial contracts such as investment agreements, shareholders agreement, share subscription agreement, non-disclosure agreements, lease agreements, sale deeds and other real estate matters, etc.;
- To review the MoA, AOA of the Companies, LLP Agreements, Partnership Firms etc. and to advice on the regulatory compliances applicable to them;
- Collaborating with various stakeholders, structuring and documentation at all stages of the transactions;
- Identify and evaluate impact of ongoing regulatory changes related to Indian Succession Act, Indian Trusts Act, SEBI, Companies Act, LLP Act;
- To conduct legal due diligence on companies with respect to the various corporate transactions;
- Providing legal advice to the business, support functions in connection with equity and equity/debt instruments, private equity transactions etc.;
To research and advice on various general legal, regulatory and other legal matters.
- A law graduate, with an experience of 4-10 years - particularly in corporate laws;
- Should possess sound knowledge of laws including Indian Trusts Act, SEBI, FEMA, Companies Act etc.
- Effectively handles multiple projects or tasks at the same time. Is open to and responds flexibly to change;
- Initiative and self-motivation;
- Excellent verbal and written communication skills.
