**Role Summary and Purpose**:The incumbent will be responsible for all the corporate secretarial functions for the company and its affiliates. The incumbent will also be responsible for the upkeep of compliances for the group companies

**Minimum Educational Qualification**: Any University Degree (10+2+3)
- Desired Additional Qualification: Company secretary under ICSI

**Total Work Experience**: 2 - 4 years

**Reports to**: The Legal Counsel

**Job Duties and Responsibilities**:
**Primary (what she/he does 80% of the time)**
- Maintain Upkeep all statutory records like Minutes, Statutory Registers, Policies
- Co-ordinate with Independent Directors, Shareholders, Transfer Agents, Practicing Company Secretary, and Auditors for necessary compliance requirements and filings in accordance with the directions of Legal Counsel
- Guide and Monitor other Company secretaries in conducting Board, Committee and General Meetings of subsidiary group companies.
- Prepare notes on agenda for a Board meeting and General Meetings of Listed Holding Company and its Subsidiaries
- Assist with the Trade Mark and Patent Registrations where entrusted.
- Statutory compliance filings and monitoring
- Comply with any new developments in the regulatory framework and new standards of corporate governance.
- Manage filing systems and records within the Secretarial department and assist with the shareholder's agreement, due diligence and all documentation requirements
- Keeping track of all statutory records and online filing with various authorities for timely compliances

**Secondary (what s/he does 20% of the time)**:

- Compliance checks.
- Contract documents and related compliance
- Contract reviews
- Liaison with various departments (internal and external)

**Unique Knowledge & Skill Requirement**:
**Leadership**:

- Be the specialist on corporate secretarial function.
- Ability to operate independently and work with external consultants
- Capable of Identifying training opportunities and design/deliver operational risk training for operational staff.

**Decision Making**:

- Ability to manage projects and processes to identify, assess and mitigate operational risk.
- Experience to do root cause analysis and developing solutions and corrective action plans to address the complex operational issues.

**Communications**:

- Consults with various levels of management.
- Drafts/articulates business cases to management to influence the need for controls.
- Communicates and coordinates with the finance, risk and compliance, and external agencies as necessary.

**Operating Environment**:
Attention to detail and stakeholder management are key necessary skills. Also needs an ability to analyze data, present the analysis and propose solutions. There is a fair degree of autonomy in performing the work. Complete reports, filing requirements, or parts of reports for presentation to stakeholders. Respond quickly to the need, ability to foresee and add value to the organization, raise issues in a timely manner to leadership, identify and manage risks.
