**Key Responsibilities**
- **Mergers & Acquisitions**: Lead and execute M&A transactions, including due diligence, negotiation, structuring, and regulatory approvals.
- **Startup & Venture Financing**: Advise startups, investors, and venture capital firms on equity financing, convertible notes, SAFE agreements, and private placements.
- **Deal Structuring & Negotiation**: Draft and negotiate term sheets, share purchase agreements, shareholder agreements, and investment contracts.
- **Regulatory Compliance**: Ensure compliance with corporate, securities, and antitrust laws, as well as relevant industry regulations.
- **Corporate Governance**: Advise clients on board resolutions, ESOP structuring, shareholder rights, and restructuring strategies.
- **Risk Assessment & Due Diligence**: Conduct legal due diligence for acquisitions, investments, and financing transactions.
- **Cross-Border Transactions**: Assist in international transactions, including compliance with foreign investment laws and tax implications.
- **Dispute Resolution**: Manage contract disputes, shareholder conflicts, and regulatory challenges related to M&A and financing deals.

**Requirements**:

- **Education**: LL.B./J.D. from a reputed law school; LL.M. in corporate law or finance is a plus.
- **Experience**: 3-8 years of experience in corporate law, preferably with a focus on M&A and venture financing.
- **Expertise**: Strong understanding of securities law, contract law, corporate structuring, and fundraising mechanisms.
- **Skills**: Excellent negotiation, drafting, and analytical skills with the ability to manage complex transactions.
- **Industry Knowledge**: Familiarity with startup ecosystems, private equity, venture capital, and financial regulations.
- **Licensing**: Licensed to practice law in the relevant jurisdiction.

**Preferred Qualifications**
- Experience working with startups, venture capital firms, or private equity funds.
- Knowledge of tax structuring in M&A and investment transactions.
- Familiarity with cross-border investment regulations and foreign exchange laws.
