**Key Skills**

Semi-Qualified CS with Knowledge or experience in the Legal domain/Paralegal;

Robust knowledge of Company Law, FEMA, Contract Act, and other applicable laws and regulations;

Able to provide timely support to the legal department;

Analytical skills and judgment to deal with ambiguity and solve problems with limited information;

Excellent interpersonal, research, and analytical skills; and

Excellent oral and written communication skills.

**Education Criteria**

Semi CS with Law Degree or Legal experience.

**Key Responsibilities**

Contract Lifecycle Management and timely execution or renewal of various Contracts;

Assisting in the drafting of Agreements;

Compliance tracking activities and ensuring timely completion of Indian and Global Compliance;

Maintenance of Indian & Global compliance checklist and periodic updations therein;

Providing support in restructuring exercise and various activities related to the legal department;

Formulation of the various internal process for legal department;

Reply to legal case studies, formulation of various legal policies as applicable to IT industry;

Data Protection, IPR, and GDPR Compliances Activities;

Periodic Compliance audit, research, and preparation of notes on various applicable law and case studies as and whenever required;

Maintaining statutory registers, forms, certificates, etc. as required under applicable corporate laws for Indian and Global Entities;

Undertaking filing of annual returns, forms, reports, LLP compliance, reporting under FEMA etc. with the MCA/ Registrar of Companies/RBI and other applicable corporate regulatory authorities;

Arranging board and shareholder meetings including preparing notices, agendas, minutes of meetings, resolutions and other statutory records etc;

Preparing documents and filings under the Companies Act, FEMA, LLP and other applicable laws and Providing assistance in ESOP Compliance;

Assisting in corporate secretarial procedures and monitor and advise the legal department on compliance and good governance practices under applicable statutes; and

Create manuals, protocols, and systems on good governance and secretarial practices.
