We are seeking an accomplished Compliance Professional to oversee all compliance functions, focusing on corporate governance, risk management, and statutory filings. This role requires a qualified Company Secretary (CS) with a minimum of 10 years of experience in compliance and corporate governance, adhering to all statutory, regulatory, and internal governance standards, particularly as a listed company.

  • Corporate Governance & Board Support: Advise the board of directors on matters of corporate governance, ensuring efficient and ethical operations.
  • Regulatory Compliance: Ensure strict adherence to relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and financial laws applicable to a listed company.
  • Acquisition & Integration: Manage compliance functions of newly acquired companies, ensuring a seamless transition.
  • Risk Management: Identify, assess, and mitigate potential compliance risks across the organization, developing robust internal policies and procedures.
  • Statutory Filings: Oversee preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for listed entities and subsidiary entities.
  • Responding to Regulators: Ensure prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills:

  • Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
