Job Title: Head of Merchant Banking

Job Description:

The successful candidate will lead the execution of initial public offering (IPO) mandates from start to finish, including due diligence, documentation, regulatory filings, marketing and listing. This includes coordinating with internal teams such as origination, compliance, research and sales, as well as external advisors like lawyers, auditors and registrars.

Key Responsibilities:
  • Ensure timely preparation and submission of offer documents, including draft red herring prospectus (DRHP), red herring prospectus (RHP) and related filings with the Securities and Exchange Board of India (SEBI), stock exchanges and the Registrar of Companies (ROC).
  • Stay up-to-date with relevant regulations related to IPOs and public offerings from SEBI, the Ministry of Corporate Affairs and stock exchanges.
  • Manage regulatory queries, observations and approvals with a high degree of accuracy and professionalism.
  • Act as a primary point of contact for clients during the IPO process.
  • Build and maintain strong relationships with promoters, board members and senior employees of client companies.
  • Assist in planning investor roadshows, analyst meets and IPO marketing strategies, both domestically and internationally.
  • Liaise with research and sales teams to ensure effective messaging to institutional and retail investors.
  • Ensure accurate reporting of all material data.
  • Liaise with third parties, including consultants, exchanges and regulators.
  • Conduct financial and legal due diligence.

  • A good industry network, including regulators and other authorities.
  • Strong interpersonal skills.
  • Expertise in issue management.
