Lead Counsel Role

The Lead Counsel will be a key member of the legal leadership team, collaborating closely with the Group Chief Legal Officer (GCLO) in all aspects of legal affairs. This role involves significant interaction with senior management, providing advice on various legal issues, managing external counsel relationships, and leading internal teams.

Responsibilities:

  • Provide legal advice on a broad range of issues, influencing strategic decision-making.
  • Assist with litigation strategy and manage external counsel relationships.
  • Oversee the legal aspects of business operations.
  • Provide legal support in business acquisitions and throughout the project life cycle.
  • Lead funding transactions from a legal perspective and manage and guide external legal counsel.

Critical Tasks:

  1. Corporate Deals: Lead equity deals and ensure closure of deals and any outstanding issues with the other party.
  2. Contracts: Lead the contracts function from the legal team, involving drafting, negotiations, and finalization of contracts with third-party EPC vendors, suppliers, consultants, etc., and other contracts.
  3. Mergers and Acquisitions/Corporate Finance: Defend indemnity claims related to corporate funding/sale of assets transactions. Draft responses to indemnity notices and other issues. Support the Corporate Finance team in SPV governance, with respect to relationships with investors. Litigations:
  4. Support decision-making regarding strategic litigations. Lead strategic litigations as per the advice of the GCLO/management.
  5. Business Acquisition: Support the Business Acquisition team in participating in competitive bids, which includes reviewing bid documents and issuing a detailed risk analysis of the same. Address queries raised with respect to submitted bids. Vette bid proposals prior to submission. Review communications issued to the bid coordinator. Conduct due diligence of the SPV prior to acquisition from the bid coordinator on a successful bid and acquisition of SPV. Issue in-house legal opinions with respect to interpretation and strategic issues.
  6. Policy Advocacy: Provide general legal advisory on strategy and interpretation of draft/new regulations. Review proposed standard bidding documents or amendments to existing standard bidding documents. Help and support the policy advocacy team in communicating with authorities. Review representations to be made to authorities, as per advice of the GCLO.
  7. Formulation of processes/SOPs/Strategy documents as per business requirements, with an objective to streamline processes and mitigate company risk exposure. Help and support business teams on legal advisory on day-to-day legal issues.
  8. Other assignments as per the advice of the GCLO.

Qualifications:

A law graduate from a reputable law school, with work experience of around [15+] years in multinational companies preferably in power/infrastructure/energy sectors. A mix of in-house and law firm experience would be preferable.
