Job Description

We are seeking a seasoned Chief Governance Officer to manage all company secretarial functions, including convening board meetings, drafting agendas and resolutions, and maintaining statutory registers and records. The successful candidate will also be responsible for filing ROC forms, annual returns, and managing compliance for subsidiaries and group entities.

The role involves supporting RBI, IFSCA, SEZ, and NBFC-related compliance, drafting commercial contracts and agreements, advising management on corporate governance and legal risks, and preparing and filing documents for corporate actions such as shifting of registered office or change of name.

Key Requirements
  • Corporate Governance & Secretarial Functions: Proven experience in company secretarial functions, corporate governance, and compliance management
  • Legal & Corporate Affairs Management: Strong analytical and critical thinking skills
  • Regulatory Compliance (ROC, RBI, IFSCA): Detail orientation and planning ability
  • Contract Drafting, Vetting & Negotiation: Excellent communication and stakeholder management skills
  • Due Diligence & Intellectual Property Rights: Bachelor's Degree in any field and Company Secretary (ICSI – Professional Level) certification
  • Policy Framework Development: At least 6-10 years of experience in the relevant field
