Job Title: Chief Compliance Officer

Job Summary:

We are seeking a highly skilled and experienced professional to lead our company secretariat function. As Chief Compliance Officer, you will play a critical role in ensuring that our organization complies with all applicable laws, regulations, and corporate governance standards.

Key Responsibilities:

  • Lead the secretarial function of a group comprising of all legal entities based out of various jurisdictions.
  • Review agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
  • Oversee overall supervision of the board and shareholders meeting including its compliance thereto.
  • Provide legal, financial, and/or strategic advice during and outside of meetings.
  • Ensure policies, regulatory, or statutory changes that might affect the organization are up-to-date, approved by the committee, and explained to concerned departments.
  • In charge of overall applicable compliances (Companies Act/FEMA).
  • Handle correspondence, collate information, write reports, and communicate decisions to relevant stakeholders.
  • Liaise with external regulators and advisors such as lawyers and auditors.
  • Create and manage action plans in response to audit observations and violations, if any.
  • Implement processes or systems to ensure good management of the organization.

Requirements:

  • 10-16 years of experience as a Company Secretary.
  • Member of Institute of Company Secretaries of India.
  • Sound knowledge of FEMA provisions/FDI Policy.
  • LLB, LLM preferred.
