Job Title: Strategic Operations Manager

Overview:

The Role:

We seek an experienced Strategic Operations Manager to oversee corporate governance, compliance, and secretarial operations for our organization. This pivotal role demands exceptional organizational, leadership, and communication skills.

Key Responsibilities:

  • Compliance Management: Ensure adherence to all corporate laws, SEBI Regulations, and Secretarial Standards for the company and its group entities.
  • Reporting and Governance: Prepare Annual Reports, Board's Report, Corporate Governance Report, Shareholders Information, Business Responsibility Report, Chairman's speech, Notice of the AGM, and review the Annual Report for the group.
  • Committee Meetings: Conduct meetings of Committees in accordance with legal requirements, including agenda preparation, coordination with various functions for information/data required for drafting and compilation of agenda notes, preparation of minutes, and follow-up on actions from meetings.
  • Group Compliance: Oversee implementation of the governance framework in group companies, ensuring compliance in Holding Board/Committee meetings, General meetings, ROC filing, etc.
  • Internal Controls: Implement internal controls and sensitize Designated Persons on legal requirements.
  • Secretarial and Statutory Auditors: Coordinate with the Secretarial and Statutory Auditors of the Company.
  • ESG Vision: Participate in formulating representations to the Ministry of Corporate Affairs (MCA) directly or through industry bodies like CII, FICCI on assorted topics from time to time.
  • Related Party Transactions: Ensure compliances around related party transactions.
  • Cross-Functional Collaboration: Work with Sustainability, Corporate Communication, HR, and other functions on the ESG vision of the Company and drive strategic outcomes and KPIs.
  • Investor Relations: Experience with managing investor relations and handling queries from shareholders and investors, supervising the activities of the Registrar and Transfer Agent, is an added advantage.

Requirements:

6-8 years of experience from Nifty 50 Companies/7-8 years from BSE 100 companies.
Qualification: CS, Law graduate (added advantage).
2 Attempts in CS Final can apply.
