The primary role of a Company Secretary involves ensuring the company's adherence to statutory and regulatory requirements. This includes maintaining statutory registers, managing board meetings, preparing minutes of meetings, and handling corporate governance matters.
The role requires effective communication with regulatory bodies and stakeholders, as well as managing secretarial audits and supporting the board with administrative tasks.
- Ensure compliance with all applicable laws, regulations, and internal policies by keeping the board updated on legislative changes and governance best practices.
- Organize and manage board and committee meetings, prepare agendas, take accurate minutes, and maintain proper records.
- Handle statutory filings, annual returns, and ensure alignment with the Companies Act and other relevant regulations.
- Maintain up-to-date statutory registers and safeguard legal documents such as Articles of Association and corporate seals.
- Serve as a communication bridge between the board, shareholders, and external authorities.
- Support in identifying legal risks, ensure adherence to internal compliance policies, and uphold data protection standards.
- Review, manage, and archive all legal contracts and agreements.
- Provide legal and compliance advice to the board and ensure directors are informed of their duties and legal responsibilities.
Requirements:
- Bachelor's degree in Law, Business Administration, or a related field.
- Professional certification issued by The Institute of Company Secretaries of India.
- Fresher or experienced candidates.
