Job Title:
">Legal Manager for Contract Negotiations and Management
">Responsibilities:
- Advise and support business teams in reviewing, negotiating, and closing contracts.
- Participate in negotiations with customers and vendors to ensure compliance with internal contracting requirements and risk identification and mitigation.
- Manage global procurement department for vendor contracts on legal front, including MSAs, SLAs, SaaS agreements, consulting agreements, data privacy agreements, EULAs, channel partner agreements, NDAs, SOWs, order forms, and global RFPs.
- Work with external legal counsels regarding specific matters.
- Proactively identify key issues and risks during negotiations and raise them to management's attention.
- Create and maintain template agreements and refine contract processes and forms.
- Assist in other legal matters as requested.
- Advise teams on intellectual property and technology-related legal issues, including compliance with data protection and privacy laws, online and email marketing rules.
- Support the legal team in reviewing client deal documents while understanding industry standards and company policies.
- Work with global customers and partners for contract review, drafting, and negotiation.
- Continuously work on improving legal drafts based on requirements from business stakeholders and clients.
- Draft employment agreements, confidentiality clauses, non-disclosure agreements related to employees and partners.
- Lead trademarks, patents, and IPR-related registrations.
Requirements:
- Bachelor's degree in law.
- SaaS and IT contracting experience is preferred.
- Preferred experience as an in-house counsel of an IT company.
- Strong organizational and interpersonal skills, people management, including ability to work effectively with business teams.
- Able to understand and talk technology.
- A self-starter who is comfortable working independently on everyday requirements and paperwork of a lean legal department.
- Excellent communication and negotiation skills.
- Ability to take initiative, adapt quickly to changing priorities, and work with a high sense of urgency across a variety of matters.
- Distinctive problem-solving and analytical skills combined with effective business judgment.
- Strong commercial experience with at least customer or channel/partner (and with both is desirable), including understanding contracts management principles and ability to craft and implement legal policies and training, as well as experience reviewing, revising, drafting, negotiating, and advising on sophisticated and complex contracts, such as services agreements, sales agreements, marketing/advertising, professional services agreements, technology agreements, partner, and vendor agreements.
