Job Description:

  • Candidate should be able to independently review and negotiate IT contracts with customers in Americas (US, Canada, LATAM).
  • Review procurement side contracts mostly but may have exposure to customer side contracts as well.
  • Work on contracts with customers, subcontractors, vendors & alliance partners globally.
  • Review and negotiation of Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.
  • Co-ordinate with procurement, business and delivery functions for transaction closure.
  • Co-ordinate with other legal team members.
  • Prepare monthly report on transactions received in a particular month.

The role involves monthly cadence reporting & meetings with management, conducting presentations & trainings as required and legal projects on a case-by-case basis (assigned by Senior Legal Counsels in the team).

Required Skills and Qualifications:

">
  • Identify contractual, commercial and operational risks and exposures in contracts;
  • Provide inputs/mark-up on contracts to negate contractual, commercial and operational risks and exposures;
  • Work with internal and external clients to structure, prepare, negotiate and finalize agreements, letters of intent, commercial proposals, etc.
  • Major experience in contract negotiation is required.
  • Review and negotiate customer agreements.
  • Provide legal support for ongoing contract management related activities; work in close co-ordination with external legal counsel.
  • Participate in discussions with internal stakeholders, external counsels and advisors during the entire contracting process.
  • Manage and give guidance to junior lawyers.
  • Experience in negotiating IT outsourcing contracts and other types of IT contracts with customers.
