We are seeking a seasoned leader to drive growth and shape the future of our firm.

The Head of Transaction Advisory will lead a team responsible for project management office services, initial public offering advisory, process integration, contracts, legal compliance, due diligence, and transaction structuring.

Key Responsibilities:

  • Transaction Execution & Integration:
    • Draft transaction documents, complete due diligence, and negotiate transactions.
    • Execute processes after deal closure, including capital structuring, funding drawdowns, and compliance.
    • Oversee integration of acquired businesses (financial systems, reporting, governance, risk management).
    • Ensure synergy tracking and realization through structured management information system dashboards and key performance indicator frameworks.
    • Manage separation and carve-out activities where required (shared services, asset transfers, employee migration).
  • Financial & Regulatory Management:
    • Implement deal-related structures (share purchase agreement/service level agreement covenants, milestone-linked funding, earnouts).
    • Ensure compliance with regulatory frameworks (Companies Act, Foreign Exchange Management Act, Securities and Exchange Board of India, Reserve Bank of India, tax regulations).
    • Support clients with closing balance sheet preparation, purchase price allocation, and consolidation.
    • Liaise with statutory auditors, tax advisors, and regulators to ensure smooth compliance post-deal.
  • Stakeholder & Client Advisory:
    • Act as trusted advisor to boards, promoters, chief financial officers, and private equity investors on post-transaction strategy.
    • Manage cross-border coordination with legal, tax, and regulatory teams.
    • Provide clear communication and governance updates to senior stakeholders.
  • Practice Leadership & Team Management:
    • Build and lead a multidisciplinary team (finance, accounting, tax, process experts) to deliver transaction execution services.
    • Drive standard operating procedures for post-deal advisory, ensuring consistency and quality.
    • Mentor managers and associates, fostering consulting excellence and knowledge development.
    • Collaborate with other service lines (Tax, Valuation, Audit, Digital Finance) for integrated client solutions.
  • Business Development & Thought Leadership:
    • Develop service offerings in post-deal advisory and integration.
    • Contribute to proposals, client pitches, and relationship management with key accounts.
    • Represent the firm at industry forums, webinars, and regulatory discussions.

Required Skills & Qualifications:

  • Deep expertise in merger and acquisition deal execution, post-deal integration, carve-outs, and restructuring.
  • Strong understanding of financial reporting, accounting standards (Indian Accounting Standards, International Financial Reporting Standards), tax structuring, and compliance frameworks.
  • Proven ability to lead negotiations, manage stakeholders (boards, promoters, private equity funds, global investors).
  • Hands-on experience with scenario analysis, synergy modeling, and performance tracking.
  • Excellent leadership, people management, and client relationship skills.

Qualifications & Experience:

  • 12+ years in mergers and acquisitions, corporate finance, or transaction advisory (Big 4, consulting, or corporate M&A leadership).
  • Chartered Accountant / Certified Financial Analyst / Master of Business Administration (Finance).
  • Track record of leading complex cross-border transactions and post-deal execution programs.
  • Experience in automotive, manufacturing, electric vehicle, or diversified industrials is an advantage.
