We are seeking a highly skilled professional to join our dynamic team in the capacity of Secretary & Compliance Officer.

The ideal candidate will be responsible for ensuring compliance with all statutory and regulatory requirements, maintaining effective corporate governance practices, and advising senior leadership on corporate governance matters.

The Secretary & Compliance Officer will play a crucial role in ensuring that operations are conducted within legal and ethical standards.

Key Responsibilities:

Compliance Management

  • Stay up-to-date with relevant laws, regulations, and guidelines affecting operations.
  • Develop, implement, and monitor compliance frameworks and procedures.
  • Conduct regular compliance audits and assessments to identify and address potential issues.

Corporate Governance

  • Provide guidance to senior leadership on best practices for corporate governance.
  • Organize and prepare materials for meetings and committees.
  • Assist in the development and implementation of corporate policies and procedures.

Company Secretarial Functions

  • Ensure accurate and timely completion of statutory and regulatory filings.
  • Maintain and update corporate records, including board minutes, resolutions, and other legal documents.
  • Facilitate communication between senior leadership, management, and stakeholders.

Risk Management

  • Identify and assess potential legal and compliance risks.
  • Develop and implement risk mitigation strategies.
  • Collaborate with departments to ensure a comprehensive understanding of potential risks.

Training and Awareness

  • Conduct training sessions for employees on compliance-related matters.
  • Keep employees informed about changes in laws and regulations that may impact the business.

Qualifications and Skills:


• Certified Company Secretary


• Minimum 7+ years of post-qualification experience in business partnering roles.


• Strong understanding of regulatory compliance, corporate actions for mergers and acquisitions, investor servicing, annual reports and general meetings/postal ballots handling, policy reviews and insider trading regulation compliance & material event awareness


• Strong influencing skills & ability to work with senior leaders across functions.
