A Corporate Compliance Officer oversees all aspects of corporate governance and regulatory compliance. This role requires a high level of expertise in legal and financial matters, as well as strong leadership and analytical skills.

Key Responsibilities:
  • Corporate Governance & Board Support: Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items.
  • Regulatory Compliance: Ensure strict adherence to all relevant statutory and regulatory requirements, including the Companies Act and other financial laws applicable to a listed company.
  • Acquisition & Integration: Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Risk Management: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Statutory Filings: Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
  • Responding to Regulators: Ensure prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engage in discussions with them to resolve their queries.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.
Required Qualifications & Skills:
  • Professional Qualifications: A mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
